On Tuesday September 16, 2025, a special meeting of the members of Ottawa Little Theatre Inc. was held with the question posed as to whether the proposed changes to the OLT’s Articles of Incorporation, as set out in the Notice of Special Meeting, were approved.
At the 2024 Annual General Meeting (AGM) we discussed the requirement to comply with the Ontario Not-for-Proft Corporations Act (ONCA), 2010. Members voted and passed a resolution to update our bylaws as submitted. Following the submission, we received notification from the Government of Ontario that they required further clarification on our ‘Purpose’ as well as Section 4 of the Article of Incorporation. As a result of this request, we have made the amendments to comply with ONCA and called a special meeting to vote on them.
Our legal counsel Christina Vechsler from the law firm Tierney Stauffer LLP, who has worked with us from day one on this task, attended the meeting to answer any questions the participants may have had during the presentation and to ensure we covered the requirements properly from a legal perspective.
An invitation to this meeting was sent to 1800 members. According to our bylaws and instruction from our legal council, we needed a quorum attending (which we had) .
The question posed was whether the proposed changes to the OLT’s Articles of Incorporation, as set out in the Notice of Special Meeting, are approved – the result was that all changes were approved as presented.
